(the “Company”, “we”, “our”, or “us”). These Terms of Use (the “Terms”) govern your access to and use of the Platform and Services and constitute a legally binding agreement between you and the entity you represent (“you” or “your”).

By accessing and/or using the Platform and any of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you are not permitted to access or use Varla’s Platform or Services.

1. Eligibility

You affirm that you are:

• Not prohibited or restricted from accessing the Platform or Services by any laws or regulations applicable to you.
• An adult of the legal age of majority in your jurisdiction.
• Not a citizen of or located in any restricted jurisdiction, nor subject to applicable sanctions or prohibitions.

2. Access and use

Varla provides software and interfaces intended to support lending and risk infrastructure for prediction markets. The Platform may allow you to:

• Connect a third-party digital wallet to interact with the Platform.
• Access interfaces that integrate with third-party smart contracts and decentralized applications (“Dapps”).
• View, manage, and monitor positions, collateral, and related information as presented by the Platform.
• Use supported actions exposed by third-party protocols (e.g., supplying, borrowing, repaying, withdrawing), where available.

Access to certain features may require additional credentials or conditions, including creating an account linked to your email.

3. User responsibilities

• You are solely responsible for all activities under your account or wallet.
• You must maintain confidentiality of your private keys and login credentials.
• You acknowledge risks associated with blockchain transactions, including potential asset loss.
• You agree not to use the Platform for illegal, fraudulent, or unauthorized activities.
• You represent that all assets you use are lawfully owned or controlled by you.

4. Protocol features

The Platform may include or facilitate access to features such as collateral management, borrowing, lending, integrations with prediction market venues, and other tools. These features may be provided via or depend on third parties, including decentralized smart contracts.

The Company does not custody your assets. Transactions you initiate may be irreversible and may fail or be delayed due to network congestion, third-party protocol behavior, or other factors outside the Company’s control.

The Company does not guarantee that any specific feature will be available at all times, nor that any feature will function without interruption or error.

5. Restrictions

You agree not to:

• Use the Platform for market manipulation or illegal trading practices.
• Engage in harmful activities such as hacking, exploiting vulnerabilities, or using unauthorized bots.
• Circumvent security measures or geo-blocking restrictions.
• Violate intellectual property rights or impersonate others.
• Access the Platform from prohibited jurisdictions.

We may suspend or revoke access for violations.

6. Fees and taxes

Use of Services may incur:

• Platform fees on transactions.
• Gas fees imposed by underlying blockchains.
• Third-party fees for Dapps or protocols.

All fees are non-refundable, and you are responsible for applicable taxes on your activities.

7. Intellectual property

All Varla trademarks, software, designs, graphics, and related content (“Varla Assets”) are owned by the Company or its licensors. You are granted a limited, non-transferable license to access and use the Platform for personal, non-commercial purposes only.

Feedback you provide may be used freely by the Company without compensation.

8. Third-party services

The Platform may include links or integrations with third-party services or Dapps. Your use of third-party services is at your own risk and governed by their respective terms. The Company is not responsible for third-party actions or failures.

9. Data protection and privacy

Use of the Platform involves collection and processing of personal data as outlined in our Privacy Policy.

10. Disclaimers and risks

• The Platform and Services are provided “as is” with no warranties of any kind.
• Blockchain-based transactions are inherently risky and may result in partial or total loss of assets.
• The Company does not provide investment, legal, or tax advice.
• We do not control third-party protocols or guarantee network performance.
• You assume full responsibility for your use of the Platform and any resulting outcomes.

11. Limitation of liability

To the fullest extent permitted by law, the Company, its affiliates, and partners are not liable for any indirect, incidental, or consequential damages, including loss of assets, data, or profits, arising from your use of the Platform.

12. Dispute resolution

These Terms are governed by applicable laws. Any disputes must be resolved through binding individual arbitration, and you waive any right to participate in a class action lawsuit.
